These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services provided by cirQQles ("cirQQles," "we," "us," or "our"), including cirqqles.com and mycirqqles.com (collectively, the "Services"). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

cirQQles provides a done-for-you customer-engagement and repeat-revenue platform for local businesses. You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law, regulation, or third-party right;
• Upload or transmit content that is unlawful, harmful, harassing, defamatory, or otherwise objectionable;
• Send unsolicited or unauthorized communications, including spam, through the Services;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;
• Use the Services to collect or store personal information about others without proper authorization and consent.

4. Customer Data

If you use the Services to engage with your own customers, you are solely responsible for the information you collect, upload, and process, and for obtaining all necessary rights, permissions, and consents to do so. You agree to comply with all applicable laws, including those relating to privacy, data protection, and electronic communications. You grant us the rights necessary to host and process that information for the purpose of providing the Services.

5. Intellectual Property

The Services, including all content, features, functionality, software, design, text, graphics, and the cirQQles name and marks, are owned by cirQQles or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You retain ownership of the content you provide, and you grant us a license to use it as needed to operate and improve the Services.

6. Fees and Payment

Certain features of the Services may require payment. If you purchase a paid plan, you agree to pay all applicable fees and authorize us or our payment processors to charge your chosen payment method. Unless otherwise stated, fees are non-refundable. We may change our fees upon reasonable notice.

7. Third-Party Services

The Services may integrate with or link to third-party products and services. We do not control and are not responsible for third-party services, and your use of them may be subject to separate terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY RESULTS WILL BE ACHIEVED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, cirQQles AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless cirQQles and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your content, or your violation of these Terms or any law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive.

12. Changes to the Services and Terms

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms from time to time. When we do, we will revise the "Effective date" above. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising out of or relating to these Terms or the Services.
